1. Acceptance of Terms

By accessing or using FundedMind (“the Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Service. These Terms constitute a legally binding agreement between you and FundedMind (“we,” “us,” or “our”).

By using the Service, you also acknowledge that you have read and understood our Privacy Policy and Refund & Cancellation Policy, which are incorporated into these Terms by reference.

2. Eligibility

You must be at least 16 years of age to use the Service. If you are under 18, you represent that you have your parent's or legal guardian's permission to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements. To purchase a paid subscription, you must be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater.

3. Description of Service

FundedMind is an educational platform designed to help traders improve their psychological discipline through lessons, quizzes, interactive chart exercises, simulated trading scenarios, and practice drills. FundedMind is not a trading platform, brokerage, or financial advisor. The Service does not execute trades, manage funds, or provide access to financial markets.

4. User Accounts

To use the Service, you must create an account through our authentication provider, Clerk. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must provide accurate information when creating an account and keep it up to date. You must not share your account with others or create multiple accounts. You agree to notify us immediately if you become aware of any unauthorized use of your account.

5. Subscriptions and Billing

The Service offers both free and paid subscription tiers. Paid subscriptions are billed in advance on a recurring basis (monthly or annually, depending on the plan you select). All prices are displayed in US Dollars (USD).

Auto-Renewal. Paid subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing to a paid plan, you authorize us to charge your payment method on file for each renewal period at the then-current subscription rate.

Payment Processing. All payments are processed securely by Stripe. We do not store your credit card number or full payment details. By providing your payment information to Stripe, you agree to Stripe's terms of service.

Price Changes. We reserve the right to change subscription pricing. If we change the price of your plan, we will notify you in advance and the new price will take effect at the start of your next billing period. Your continued use after the price change constitutes acceptance of the new price.

Cancellation. You may cancel your paid subscription at any time. Upon cancellation, you will retain access to paid features until the end of your current billing period. No partial refunds are issued for unused time within a billing period. See our Refund & Cancellation Policy for full details.

Refunds. All payments are non-refundable. We offer a free tier with full access to all features (subject to daily usage limits) so you can evaluate the Service before upgrading. See our Refund & Cancellation Policy for full details.

6. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of any applicable law
• Attempt to gain unauthorized access to the Service or its related systems
• Interfere with or disrupt the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Automate access to the Service (bots, scrapers, etc.) without our permission
• Resell, redistribute, or sublicense the Service or its content
• Circumvent usage limits, paywalls, or any access restrictions
• Submit false, misleading, or fraudulent information

We reserve the right to suspend or terminate accounts that violate these Terms, with or without notice.

7. Educational Disclaimer

FundedMind provides educational content only. Nothing on this platform constitutes financial advice, investment advice, or trading recommendations. All simulated scenarios use fictional or historical market data for educational purposes only. Trading involves significant risk of loss. Past performance in simulations does not guarantee future results in real trading. You are solely responsible for your own trading decisions and outcomes.

8. Intellectual Property

All content on FundedMind, including text, graphics, logos, software, educational content, chart data, exercises, and user interface design, is the property of FundedMind and is protected by copyright and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service or its content without our prior written consent.

9. Your Data

You retain ownership of any personal information you provide to the Service. Your learning progress, scores, and activity data are associated with your account and are used to provide the Service to you. We process your data as described in our Privacy Policy. If you delete your account, your data will be deleted in accordance with our Privacy Policy.

10. Termination

By You. You may terminate your account at any time by contacting us at fundedmind@protonmail.com. If you have an active paid subscription, cancellation will take effect at the end of your current billing period.

By Us. We may suspend or terminate your account at any time if you violate these Terms, engage in fraudulent or abusive behavior, or if we are required to do so by law. We may also terminate inactive accounts after an extended period of inactivity. If we terminate your account without cause, and you have an active paid subscription, we will refund the pro-rated unused portion of your current billing period.

Effect of Termination. Upon termination, your right to use the Service immediately ceases. We may delete your account data in accordance with our Privacy Policy. Sections of these Terms that by their nature should survive termination will survive, including Sections 7, 8, 11, 12, 13, and 14.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure. We do not guarantee any specific learning outcomes or trading results from using the Service.

12. Limitation of Liability

To the maximum extent permitted by law, FundedMind and its owners, employees, and service providers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, trading losses, data loss, or other intangible losses, arising out of or related to your use of or inability to use the Service. Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100 USD, whichever is greater.

13. Indemnification

You agree to indemnify, defend, and hold harmless FundedMind and its owners, employees, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney's fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

14. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.

Informal Resolution. Before filing any formal legal claim, you agree to first contact us at fundedmind@protonmail.com and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction. If informal resolution fails, any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of such courts.

15. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, power outages, internet disruptions, pandemics, cyberattacks, or failures of third-party service providers.

16. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after any changes constitutes acceptance of the modified Terms. If you do not agree to the updated Terms, you must stop using the Service.

17. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy and Refund & Cancellation Policy, constitute the entire agreement between you and FundedMind regarding the Service and supersede all prior agreements and understandings.

Severability. If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment. You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
